We drafted the company’s full Employee Employment Agreement and accompanying Code of Conduct and Policies a single, integrated framework covering onboarding representations, probation and confirmation, hours of work, performance improvement plans, and a graded structure of notice periods and termination rights for every stage of employment.
Because the agreement was built to protect the two things that matter most in that business: client relationships and confidential information. It includes:
- Non-disclosure, non-competition and non-solicitation clauses covering clients, vendors and prospective business, with a defined liquidated-damages formula for breach.
- Client and data protection obligations addressing circumvention, salary disclosure to clients, misrepresentation on professional platforms such as LinkedIn, and mandatory 24-hour breach notification.
- A bench-status framework and a training-commitment clause with pro-rata reimbursement, drafted to withstand scrutiny while remaining enforceable.
- GDPR and Information Technology Act, 2000 compliance obligations, IP assignment provisions, and a DIAC arbitration clause carved out to preserve the Company’s right to approach the New Delhi courts directly for injunctive relief on the clauses that matter most.
